[구매] 영문계약서 작성 시 주의해야할 사항 (1)

 

1. shall, will, is obligated to R

계약 당사자가 이행하겠다는 의무가 담겨 있다. (will은 미래시제로 사용되기도 하기 때문에 정확하게 의무를 표현하기 위해서는 다른 표현을 사용하는 것이 좋다.)

불이행시 계약위반으로 필요한  법적 조치를 취할 수 있다.

cf) shall not은 -하지 않을 것을 뜻함.

 

2. may, be entitled to N, has the right to R

계약 당사자의 권리. 상대방이 권리행사에 응하지 않는 경우 법적 책임을 물을 수 있다. (may는 중의적인 표현으로 조심할 것)

 

3. 날짜에 사용되는 PREP

- after / before: 기재 날 미포함, 다음날 부터 적용. after 25th > 26일부터 적용

- commencing with / on: 기재 날 포함. commencing with 25th > 25일부터 적용

- from, as of: 기재 날 포함

- by: 기재 날 포함

- to, untill, till, ending, with, through, on or before: 기재 날 포함

 

4. 조건 표현 (미확정)

- provided that: 다만 -인 경우에 cf) provided는 강조 표현

- subject to: -을 조건으로 하여  = under the terms and conditions that(of) 

- unless otherwise specified in A: A와 다르게 명시되지 않는 한

- except that: -의 경우를 제외하고 = unless and until 

- except as otherwise specified in: A에 명시된 것을 제외하고

- except with the prior written consent of: 사전 서면 승낙을 제외하고  

 

5. 비용, 책임을 부담하는 표현

- at no cost and liability of party A: A의 비용 부담 및 책임으로 = at party A's cost

- arisen from/for the reason attributable  to party A: A의 귀책사요로 발생된

 

6. 클레임 관련 표현

- without prejudice to all of any other claims 

다른 클레임과는 상관없다는 뜻으로 청구권이 유효한 경우 추후 별도의 책임을 추궁할 수 있음

- without prejudice to other remedies available under the applicable laws

법률로 인정되는 구제방법에 영향을 미치지 않다는 뜻으로 구제 방법을 병행 청구 할 수 있다는 의미

- without prejudicde to the generality of the foregoing

상기 원칙을 전제한다는 뜻으로 특별한 규정을 협의할 때 서두로 작성하는 글귀

 

7. 사용빈도가 높은 표현

- 준용 규정: A shall be applied MUTATIS MUTANDIS to B: A는 B에따라 변경 될 수 있다.

- 예시 표현: including, but not limited to / without limitation A: A를 포함하여

- 한정 열거: including only: 예외를 두지 않음

- 상충관계 조정: notwithstanding any other provisions herein to the contrary: 다른 상충되는 규정에도 불구하고 기재된 사항이 우선적으로 적용됨
